1. Sponsorship and Eligibility

This contest is sponsored by Songlinkr LLC (“Songlinkr”). There is no purchase necessary to enter or win. This contest is open only to independent artists that are legal residents of the United States who are eighteen (18) years or older at the time of entry; however, the contest is void where prohibited or restricted by law. Employees of Songlinkr, its affiliates, licensees, advertising and promotional agencies, and the immediate family members of each are not eligible.

 

2. Qualification Period; Cancellation

The qualification period for the contest begins at 12:01 AM (EST) on Monday, August 26, 2019 and ends at 11:59 PM (EST) on Sunday, September 22, 2019.  Songlinkr reserves the right, at any time, to cancel, suspend, or postpone the contest. Similarly, Songlinkr reserves the right to modify the contest and/or the contest rules in response to circumstances that are not in the reasonable control of Songlinkr.

 

3. Entry Procedures

To enter the contest, you must sign up as a member on our website at www.songlinkr.com. Please follow all instructions and complete the online new user sign-up form. Then, make your submission by recording it LIVE as a session in the Songlinkr studio, and share your recording to the Songlinkr Feed, listing it as a submission for the End of Summer Songwriting Competition. Each member may enter only one (1) submission.

 

4. Duties of Participants; Limitation of Liability; Indemnification

By entering, you agree to be bound by these rules and the decisions of Songlinkr which shall be final. All federal, state, and local laws apply. Songlinkr and the employees, officers, directors, shareholders, agents, and representatives of Songlinkr, its affiliates, subsidiaries, and advertising, promotion and legal advisors, are not responsible for and shall not be liable for: (i) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (ii) telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, or difficulties; (iii) errors in transmission; (iv) any condition caused by events beyond the control of Songlinkr that may cause the contest to be disrupted or corrupted; (v) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, or use of a prize, or from participation in the contest; or (vi) any printing, transmission, or typographical errors in any materials associated with the contest.

YOU UNDERSTAND AND AGREE THAT YOUR CONTEST SUBMISSION MUST CONSIST ONLY OF ORIGINAL WORKS OF AUTHORISHIP CREATED BY YOU, OR BY OTHERS WHO HAVE GRANTED YOU (IN A WRITING SIGNED BY THE RIGHTFUL OWNER) ALL RIGHTS NECESSARY TO SUBMIT THEIR WORKS FOR THIS CONTEST AND FOR ALL PURPOSES DESCRIBED IN THESE CONTEST RULES; AND THAT YOU ARE NOT PERMITTED TO SUBMIT ANY MATERIALS TO SONGLINKR THAT WOULD INFRINGE OR VIOLATE THE RIGHTS OF ANY THIRD PARTY.  IF REQUESTED BY SONGLINKR, YOU WILL PROVIDE US WITH A COPY OF ANY THIRD-PARTY PERMISSIONS, AND/OR SIGN ADDITIONAL DOCUMENTATION TO ASSURE US THAT YOU HAVE ALL NECESSARY RIGHTS TO SUBMIT YOUR MATERIALS FOR THE CONTEST AND TO AGREE TO THE TERMS OF SECTION 9 BELOW.  IF YOU FAIL TO COMPLY WITH OUR REQUESTS, AND/OR IF WE OTHERWISE REASONABLY BELIEVE WE CANNOT CONFIRM THAT YOU HAVE THE NECESSARY RIGHTS IN YOUR SUBMISSION, THEN YOU AGREE THAT WE MAY DISQUALIFY YOU IN OUR SOLE DISCRETION, WITHOUT NOTICE, AND WITHOUT PENALTY OR LIABILITY FOR SUCH DISQUALIFICATION.

 

5. Violation of Contest Rules

Songlinkr reserves the right to disqualify any participant or winner who, in Songlinkr’s sole suspicion, tampers with the entry process, intentionally submits more than a single entry, violates these rules or the Site Terms and Conditions, or acts in an unsportsmanlike or disruptive manner.

 

6. Selection of Winners

By Monday, September 30, 2019, ten (10) finalists will be selected by judges that include veteran songwriters, producers from the community and industry professionals. Submissions will be judged on the following criteria: creativity, originality, melody, composition, lyrics and arrangement.  From the ten (10) finalists, one (1) winner will be selected by popular vote on the Songlinkr voting page. Voting will open Wednesday, October 2, 2019 and will close at 12:00 PM (ET) on Saturday, October 12, 2019.  The winner will be announced on Songlinkr and across its social media properties as soon as possible, subject to Sections 8 and 9 below.

 

7. Description of Prizes

The following prizes will be awarded to the first-place winner:

One (1) PRS S2 Custom 24 Electric Guitar;

One (1) PRS SE Angelus AE55E Acoustic Guitar; and

One (1) PRS Mark Tremonti MT15 Tube Guitar Head & Cabinet.

Subject to Sections 8 and 9 below, prizes will be delivered by mail to the first-place winner within 30 days of the close of the contest. Only the first-place winner is eligible to receive prizes.

 

8. Notification of Winner; Substitution of Prizes

The winner will be notified by electronic mail. Songlinkr will attempt to re-send said e-mail up to three (3) times. If any winner does not respond to such e-mail notifications within three (3) days of Songlinkr’s first notification transmission, or should the e-mail be returned as undeliverable after three (3) attempts, the prizes will be forfeited and the relevant prizes will be granted to the participant who was judged to have the next-best submission. The winner may not substitute or transfer prizes. If a third party has contributed to the winner’s submission as described in Section 4, prizes will be sent to the winner of record, and it is then up to the winner to share or divide the prizes.  Songlinkr reserves the right to substitute a prize of equal or greater value in the event a prize is unavailable. Prizes are not redeemable for cash. All taxes on prize are winners’ responsibility.

 

9. Permissions

Except where prohibited by law, submission of an entry constitutes permission to use your submission, name, hometown and likeness (as well as the names, hometowns, and likeness of others participating in your submission) for online posting, and/or any advertising and publicity for this contest, for future contests, and/or for Songlinkr without additional compensation, throughout the world, in all media, and in perpetuity. The winner may also be required to sign and return a release of liability, declaration of eligibility, license to use the winning submission, indemnification of Songlinkr against any third-party claims arising from Songlinkr’s use of the submission, and, where lawful, a publicity consent agreement, all as conditions of receiving prizes. Failure to comply with the aforementioned conditions shall be grounds for forfeiture of prizes.

 

10.  Indemnification

TO THE FULL EXTENT PERMITTED BY LAW, YOU SHALL INDEMNIFY, DEFEND AND HOLD HARMLESS SONGLINKR, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, MEMBERS, MANAGERS, EMPLOYEES AND AGENTS FROM AND AGAINST ANY AND ALL THIRD PARTY DEMANDS, CLAIMS, ACTIONS OR PROCEEDINGS SEEKING A REMEDY FOR ANY FINANCIAL OR COMMERCIAL HARM OR LOSS, AND ALL FINES, JUDGMENTS, DAMAGES, SETTLEMENTS, PENALTIES, LIABILITIES, LOSSES, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES) SUFFERED BY ANY SONGLINKR PARTY IN DIRECT CONNECTION THEREWITH, TO THE EXTENT CAUSED BY THE ACTUAL OR ALLEGED INFRINGEMENT OR VIOLATION BY YOUR SUBMITTED MATERIALS OF THE RIGHTS OF ANY THIRD PARTY. 

 

11.  Governing Law; Jurisdiction

The contest and these contest rules are governed by and should be construed and interpreted in accordance with the laws of the State of Florida (without regard to its rules governing the conflict of laws).  You agree that any claim or cause of action whether in law or equity, arising under or relating to this contest or these rules may be brought in the state or federal courts located in the County of St. Johns, FL.  Each of us consents and submits to the in personam jurisdiction of such courts, and to the extent permitted by law, consent that all services of process may be made by certified or registered mail, postage prepaid and return receipt requested.  Each party hereto waives any objection based on the inconvenience of the forum and waives any objection to venue of any action instituted hereunder to the extent that an action is brought in the courts identified above.  Each party hereto agrees that a final judgment in any such action shall be conclusive and may be enforced in any other jurisdiction in any manner provided by law.
